Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Tlyck platform operated by Melnicom Ltd. ("Company", "we", "us", "our"), a company registered in Israel. By creating an account or purchasing any product, you agree to be bound by these Terms.

1. The Service

Tlyck is a managed AI-agent platform that allows customers ("Users") to deploy, operate, and monitor AI-powered agents that interact through Telegram. We provision the agent infrastructure, provide AI capabilities, and give Users access to a real-time usage dashboard.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under applicable law to use the Service. By using Tlyck you represent that you meet these requirements.

3. Account Registration

You may sign in using Google, Apple, or a passwordless email link. You are responsible for all activity that occurs under your account. You must provide accurate information and notify us immediately of any unauthorized use at david@melnicom.com.

4. Token Budgets and Purchases

The Service is provided on a prepaid token-budget basis. When you purchase a token budget, you are purchasing AI processing capacity measured in tokens:

• Starter – $20 USD: $20 of AI token budget added to your account.
• Growth – $50 USD: $50 of AI token budget added to your account.
• Pro – $100 USD: $100 of AI token budget added to your account.

Your purchased token budget does not expire. Tokens are consumed as your agent processes requests. All prices are in United States Dollars (USD) and exclude any applicable taxes.

5. Free Credit for New Customers

First-time customers receive a complimentary $30 USD token budget upon creating their account and deploying an agent. This free credit is non-transferable, cannot be exchanged for cash, and is governed by our Refund Policy.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, including Israeli law and the laws of the country in which you operate.
• Transmit spam, harass, threaten, or abuse other users or third parties.
• Generate or distribute unlawful, defamatory, fraudulent, or harmful content.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse-engineer, copy, or resell any part of the Service.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. Intellectual Property

All software, branding, and content constituting the Tlyck platform are the property of Melnicom Ltd. and are protected by applicable intellectual property laws. You retain ownership of the content you provide to your agent but grant us a license to process and transmit it for the purpose of delivering the Service.

8. Availability and Uptime

We strive to keep the Service available around the clock but do not guarantee uninterrupted availability. We may perform maintenance or updates that temporarily impact availability. Planned downtime will be communicated where feasible.

9. Third-Party Services

The Service integrates with third-party services including Telegram, Google, Apple, and AI model providers. Your use of those services is governed by their respective terms. We are not responsible for the actions or availability of third-party services.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AI-generated responses may not always be accurate; you are responsible for verifying information before acting on it.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Melnicom Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service. Our total liability shall not exceed the amount paid by you to us in the twelve months preceding the claim.

12. Changes to the Service and These Terms

We may modify the Service or these Terms at any time. We will notify registered users of material changes by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Termination

You may close your account at any time by contacting us at david@melnicom.com. We may terminate or suspend your account for breach of these Terms. Upon termination, unused purchased token balance may be eligible for a refund per our Refund Policy.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Israel. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Israel.
